Terms of Use

These Terms of Use (“Terms”) govern your access to and use of TalkPrep and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility; Acceptance
You represent that you are at least 13 years old and otherwise capable of forming a binding contract. If you are under the age of majority in your jurisdiction, you represent that you have parental or guardian consent to use the Services.
2. Changes to the Terms
We may modify these Terms at any time. We will update the “Last updated” date above. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
3. The Services; No Professional Advice
The Services provide AI-generated speech coaching and feedback for practice and self-improvement purposes only.
THE SERVICES DO NOT PROVIDE PROFESSIONAL COACHING, CAREER, LEGAL, OR OTHER PROFESSIONAL ADVICE. You are solely responsible for your decisions and actions.
4. Accounts
You agree to provide accurate information when creating an account and to maintain the confidentiality of your credentials. You are responsible for all activity conducted through your account. We may suspend or terminate accounts as provided in Section 11.
5. User Content; License
5.1 User Content
“User Content” means audio recordings, transcripts, and other content you submit through the Services. You retain ownership of your User Content, subject to the license below.
5.2 License Grant to TalkPrep
You grant TalkPrep and its Service Providers a non-exclusive, worldwide, royalty-free license to host, store, process, transcribe, and analyze your User Content solely to provide, maintain, and improve the Services, including generating AI coaching feedback in response to your recordings.
You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate law or infringe third-party rights.
5.3 Feedback
If you submit feedback or suggestions, you grant us the right to use them without restriction or compensation.
6. Acceptable Use; Prohibited Conduct
You agree not to:
- Use the Services for unlawful, harmful, or abusive purposes;
- Interfere with or attempt to gain unauthorized access to the Services;
- Reverse engineer or attempt to extract source code except as permitted by law;
- Use automated tools to access the Services in a manner that burdens or scrapes them;
- Infringe intellectual property rights or submit content you lack rights to use.
7. Intellectual Property
The Services, including software, design, and content (excluding User Content), are owned by TalkPrep or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes.
8. Third-Party Services
The Services may integrate with third-party services. We are not responsible for third-party services, and your use of them is governed by their own terms.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated feedback may be incorrect, incomplete, or inappropriate. You assume all risk arising from your use of the Services.
10. Limitation of Liability
To the fullest extent permitted by law, TalkPrep and its affiliates, officers, and employees will not be liable for any indirect, incidental, special, or consequential damages arising from the Services. Our total liability for any claim will not exceed the greater of the amount you paid to TalkPrep in the six months preceding the claim, or US $100.
11. Suspension; Termination
You may stop using the Services at any time and may request deletion of your account by contacting us. We may suspend or terminate your access at any time if we reasonably believe you violated these Terms. Sections 5, 7, 9–14 survive termination.
12. Indemnification
You agree to indemnify and hold harmless TalkPrep and its affiliates and personnel from any claims, liabilities, damages, and expenses arising from your use of the Services, your violation of these Terms, or your User Content.
13. Governing Law
Except where prohibited by law, any dispute arising from these Terms or the Services shall be resolved by binding individual arbitration under the American Arbitration Association's Consumer Arbitration Rules. You and TalkPrep waive the right to participate in class actions.
14. Miscellaneous
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No Waiver: Failure to enforce a provision is not a waiver.
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the Services.
